Terms and Conditions for YBF Networking Platform Membership

These Terms govern your membership in YBF (Your Best Friend) (hereinafter referred to as the "YBF," "We," "Us," or "Our"). By clicking "I agree", registering, purchasing a membership, accessing the Platform, attending an Event, or using the Services, you agree to these Terms and the Privacy Policy. If you accept these Terms on behalf of an organization, you confirm that you are authorised to bind that organization.

1. Key Definitions

• Platform: YBF’s website, apps, communication channels, community spaces, and related digital infrastructure.
• Membership: Your limited, revocable, non-transferable right to access the Services during your membership term.
• Services: YBF’s events, digital resources, chapter access, communications, and related offerings.
• Event: Any online, hybrid, or in-person session organized or facilitated by YBF.
• Member Content: Any content you submit or share through the Platform or during an Event.
• Applicable Law: All laws and legally binding requirements that apply to you, YBF, the Platform, or the Services.

2. Eligibility

• You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher, and legally able to enter a binding contract.
• You must provide accurate, complete, and up-to-date information at all times and promptly correct any information that becomes inaccurate, incomplete, misleading, or out of date.
• You must, where relevant to category allocation, referrals, participation rights, or conflict checks, disclose material affiliated entities, beneficial ownership, control relationships, sister concerns, brands, or associated businesses that you own, control, represent, or materially promote.
• YBF may request identity, KYC, business verification, category-fit information, regulatory status information, or similar materials where reasonably required, both at onboarding and at any later time during the membership term.
• You must cooperate with reasonable reverification requests and provide supporting information or clarification where YBF reasonably considers it necessary to confirm identity, role, business legitimacy, category alignment, authority, or ongoing eligibility.
• If requested information is false, misleading, incomplete, materially omitted, inconsistent, or unverifiable, or if a member fails to cooperate with reasonable verification or reverification, YBF may refuse, restrict, suspend, decline renewal of, or terminate membership.

3. Membership and Services

• YBF brings together entrepreneurs, founders, leaders, and accomplished professionals through meaningful introductions, thoughtful conversation, shared learning, and a high-trust professional community curated to preserve relevance, quality, and member value.
• Membership may include exclusive online events, digital resources, access to India-based and international chapters or member circles, and community engagement opportunities published by YBF from time to time.
• Each membership is approved for one member and one membership category only. A member may not hold, claim, use, or derive benefits from multiple categories simultaneously.
• A member shall engage only within the category for which the membership was granted and shall not market, pitch, endorse, represent, cross-sell, or otherwise promote any other business category, offering, or vertical through YBF.
• Only one individual is permitted to attend, access, or participate per membership. Co-founders, partners, team members, assistants, family members, or associates are not entitled to attend, substitute themselves, or enjoy member privileges under the same membership as a matter of right.
• If the member is unable to attend a particular meeting, YBF may, at its sole discretion and only upon prior notice, permit one temporary representative to attend in that member’s place for that meeting only. Such permission shall be exceptional, revocable, and shall not create any continuing attendance right, separate account right, or independent membership entitlement for the representative. Such representation will only be permitted thrice in six months and any more representations shall be deemed as the member being absent despite the presence of the representative.
• Membership is personal, limited, revocable, non-exclusive, and non-transferable, and no membership may be shared, pooled, rotated, sublicensed, split across multiple persons, or used as a gateway for indirect participation by non-members.
• To protect category integrity and fairness within the network, YBF may ring-fence categories, restrict overlap, decline competing or duplicative participation structures, and require immediate correction of any misrepresentation regarding the member’s business identity, role, offering, or category alignment.
• Members shall not use YBF access, introductions, directories, event participation, or community visibility to circumvent category restrictions, harvest leads for unrelated businesses, or create shadow participation for affiliates, co-founders, or associated entities that are not independently admitted by YBF.
• YBF may expand, localize, withdraw, substitute, or restructure chapters, benefits, formats, hosts, speakers, and program features at its discretion.
• International members must follow these Terms and any local chapter rules or compliance requirements and are responsible for ensuring their use of the Services is lawful in their jurisdiction.
• YBF does not guarantee access to any specific chapter, speaker, participant, market, city, feature, or commercial opportunity.
• Any breach of this Section, including category misuse, unauthorised promotion, attendance by an unauthorised person, repeated use of representatives, or any attempt to bypass the one-member-per-membership rule, shall constitute a material breach and may result in immediate suspension or termination without refund, reinstatement obligation, or liability to YBF.

4. Fees, Renewal, and Refunds

• For the annual membership fee, please refer to our Membership Fee structure policy along with the applicable GST and any other taxes, duties, currency conversion charges, bank charges, or payment gateway charges, unless stated otherwise.
• International members may be charged in US Dollars, subject to exchange rates and payment processor policies. No digital currencies will be deemed as acceptable form of payment.
• Except where required by law or expressly approved by YBF in writing, fees are non-refundable, non-cancellable, and non-transferable. No prorated refund, credit, or carry-forward will be provided for unused periods, missed events, dissatisfaction, change of mind, suspension, or termination for cause.
• If renewals are offered, they will be subject to the pricing and terms in effect at the time of renewal. Unless YBF states that renewal is automatic, renewal will require fresh payment or confirmation through YBF’s process.
• YBF may revise fees, benefits, or commercial terms for future membership terms at any time, with changes applying prospectively unless law requires otherwise.

5. Events, Community Standards, and Enforcement

• Events may be online, in person, or hybrid, and may be rescheduled, reformatted, substituted, or cancelled where reasonably necessary.
• You are responsible for your own internet access, devices, travel, attendance arrangements, and compliance with Event-specific instructions or local requirements.
• YBF may record, photograph, capture, or use Event interactions, including audio, video, chat messages, Q&A submissions, and presentation materials, for operations, moderation, security, training, archival, quality assurance, and, where permitted, promotional purposes.
• To help preserve the quality, trust, and professional spirit of the YBF community, you must participate lawfully, respectfully, professionally, and in good faith, and you must not exploit technical loopholes, informal channels, representatives, affiliates, or introductions in a manner inconsistent with the purpose of the Platform or Services.
• Prohibited conduct includes harassment, intimidation, threats, discrimination, abuse, disruptive or manipulative behavior, fraud, deception, impersonation, unauthorised solicitation or advertising, scraping or misuse of member information, unlawful or infringing content, malware or unauthorised access, prohibited schemes, unauthorised professional advice, and unauthorised recording, distribution, or commercial use of Platform or Event materials.
• Without limitation, you must not directly or indirectly circumvent category protections, attendance restrictions, referral boundaries, or participation limits by acting through a representative, affiliate, co-founder, associated entity, another member, or any third party.
• You must not scrape, copy, index, extract, download, compile, harvest, or systematically use member directories, attendee lists, chat logs, contact details, or community information to build databases, lead lists, mailing lists, CRM records, or outreach pipelines, and you must not add any member to a mailing list, messaging group, campaign, or broadcast list without that person’s consent.
• You must not make false, misleading, unsubstantiated, or exaggerated claims about your qualifications, experience, track record, certifications, affiliations, referrals, business performance, or results, nor may you misrepresent YBF as endorsing, certifying, accrediting, guaranteeing, or recommending you, your business, your services, or your offerings.
• You must not use YBF, its Events, introductions, or community access to poach members, divert members into a competing network, recruit for rival communities, or otherwise raid YBF’s member ecosystem, speakers, partners, or commercial relationships.
• You must not engage in malicious, coercive, intimidating, retaliatory, or knowingly false conduct against YBF, its team, or other members, including conduct arising from complaints, moderation, enforcement action, or commercial disagreements.
• YBF may request verification information, investigate suspected violations, remove content, restrict access, suspend or terminate Membership, preserve relevant records, and cooperate with competent authorities. In assessing complaints or possible breaches, YBF may act on a reasonable belief based on complaints, screenshots, chat logs, emails, recordings, attendance history, documents, public materials, verification records, or other information it reasonably considers relevant.
• YBF may adopt supplemental community rules, event protocols, attendance standards, representative conditions, or category safeguards from time to time, and members must comply with them as a condition of continued participation.

6. Intellectual Property and Member Content

• YBF and its licensors own all rights in the Platform, Services, branding, materials, templates, recordings, event formats, and the Dream Life Planner, excluding your Member Content.
• You retain ownership of your original Member Content, but you grant YBF a worldwide, non-exclusive, royalty-free license to use it to operate, secure, administer, improve, archive, and promote the Platform and Services.
• If your name, likeness, image, voice, testimonials, questions, or Event participation appear in Member Content or recordings, you also grant YBF the right to use them for operational, archival, and, where permitted, promotional purposes, subject to any opt-out process YBF may offer for future promotional use.
• You confirm that you have the rights needed to share your Member Content and that it does not violate third-party rights or Applicable Law.
• YBF may remove, restrict, or decline to publish Member Content where it reasonably believes it may violate these Terms, third-party rights, or Applicable Law.

7. Privacy, Complaints, Communications, and Third-Party Services

• YBF processes personal data in accordance with its Privacy Policy and Applicable Law for purposes including account administration, identity verification, payments, Events, communications, moderation, security, analytics, service improvement, legal compliance, and grievance handling.
• Your personal data may be processed in India and other jurisdictions where YBF or its service providers operate, subject to applicable safeguards and legal requirements.
• YBF may retain personal data for as long as reasonably necessary for legitimate service, compliance, and recordkeeping purposes.
• If you believe content on the Platform infringes your rights, or if you have a complaint relating to Membership, payments, misconduct, privacy, impersonation, or another issue, you may contact YBF.
• YBF may designate a Grievance Officer or another contact person and will use commercially reasonable efforts to acknowledge and address complaints within an appropriate period.
• You consent to receive transactional, operational, legal, and administrative communications from YBF using the contact details you provide.
• The Services may rely on third-party platforms, processors, venues, communication tools, or payment gateways, which remain subject to their own terms and practices.

8. Suspension and Termination

• YBF may restrict, suspend, terminate, refuse renewal of, or permanently revoke your Membership or access to any part of the Services, with or without notice, if YBF reasonably believes that you have breached these Terms, created legal, reputational, operational, or community risk, failed verification, engaged in misconduct, or where such action is otherwise required for compliance, security, category integrity, or legitimate business reasons.
• Without limiting the foregoing, YBF may take immediate action where it identifies or reasonably suspects category misuse, cross-category promotion, unauthorised solicitation, attendance by an unauthorised person, repeated or improper use of representatives, sharing or transfer of Membership access, impersonation, misrepresentation of business identity or role, non-disclosure of affiliated entities, data harvesting, member poaching, retaliatory conduct, or any attempt to bypass the one-member-per-membership and one-member-one-category rules set out in these Terms.
• Any breach of the Terms & Conditions verification obligations, or any anti-circumvention, no-sharing, no-harvesting, no-poaching, or no-misrepresentation requirement shall be deemed a material breach going to the root of Membership and may result in immediate suspension or termination without any cure period, warning, refund, credit, compensation, reinstatement obligation, or liability to YBF.
• Where YBF considers it appropriate, it may instead impose one or more intermediate measures, including warnings, monitored participation, probation, representative restrictions, category review, corrective action requirements, event exclusion, benefit limitation, temporary access controls, or non-renewal. YBF shall have no obligation to apply any lesser remedy before suspending or terminating Membership.
• Renewal is not automatic and is not an entitlement. YBF may evaluate renewals based on conduct, participation quality, verification status, category considerations, complaints history, community fit, and legitimate business considerations, and may decline renewal without creating any right to damages, credit, continuation, or reinstatement.
• If your Membership is suspended, restricted, not renewed, or terminated, your access may stop immediately, you must cease holding yourself out as a YBF member, and YBF may deactivate your account, cancel registrations, deny event entry, remove you or your representative from member communications, directories, and community spaces, and preserve relevant records for enforcement, compliance, or evidentiary purposes.
• No refund, set-off, damages, prorated credit, rollover, or other reimbursement shall be due in respect of any suspension, restriction, refusal to renew, or termination, especially where action is taken for cause or arising from conduct described in these Terms.
• Any exception, indulgence, temporary tolerance, representative approval, delayed enforcement, or selective action by YBF shall be case-specific only and shall not constitute a waiver, create precedent, require equal treatment in future cases, or limit YBF’s right to require strict compliance at any time.
• Termination or suspension shall be without prejudice to YBF’s other rights and remedies, and Terms that by their nature should continue after suspension or termination, including those relating to fees, intellectual property, privacy, disclaimers, limitations of liability, indemnity, dispute resolution, investigations, records, and enforcement, will survive.

9. No Guarantees or Advice

• The Platform and Services are provided for networking, informational, educational, and community purposes only.
• YBF does not guarantee attendance, outcomes, leads, introductions, investment, employment, revenue, compatibility, success, availability, or any specific result from Membership or participation.
• No Content made available by YBF or through the Platform constitutes legal, financial, investment, tax, accounting, medical, immigration, therapeutic, or other regulated professional advice.
• YBF does not certify, endorse, guarantee, insure, or warrant the honesty, legality, quality, competence, solvency, credentials, suitability, or performance of any member, representative, attendee, speaker, vendor, partner, introduction, product, service, statement, or opportunity made available through the Platform or Services.
• You are solely responsible for conducting your own independent evaluation, diligence, verification, and professional advice before relying on any introduction, statement, recommendation, representation, opportunity, or business relationship arising from YBF, and any dealings between members or with third parties are solely between those parties.
• Except as expressly stated in these Terms, you acknowledge that you have not relied on any representation, warranty, statement, promise, projection, expectation, vetting assumption, or implied endorsement not expressly set out in these Terms.

10. Changes to Services

• YBF may modify, update, pause, discontinue, limit, substitute, or reschedule any aspect of the Platform or Services, including Events, moderators, speakers, Chapters, benefits, access levels, communication channels, community formats, support hours, technical features, and eligibility criteria.
• YBF may also refuse applications, remove content, limit participation, investigate misuse, and adopt supplemental guidelines, subject to Applicable Law.

11. Limitation of Liability

To the maximum extent permitted by Applicable Law:

• The Platform and Services are provided on an "as is" and "as available" basis, and YBF disclaims all representations and warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted access.
• YBF shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit damages, or for loss of data, goodwill, business opportunity, or reputation, arising out of or relating to the Platform, Services, Events, Member Content, third-party services, or member interactions.
• To the fullest extent permitted by Applicable Law, YBF’s aggregate liability arising out of or relating to these Terms, the Platform, or the Services shall not exceed the total Membership fees actually paid by you to YBF during the twelve months immediately preceding the event giving rise to the claim.
• Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by Applicable Law.

12. Indemnity

• You agree to indemnify, defend, and hold harmless YBF, its affiliates, licensors, service providers, officers, directors, employees, representatives, and agents from and against claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable legal fees, arising out of or relating to your breach of these Terms.
• This includes claims arising from your Member Content, misuse of the Platform or Services, violation of Applicable Law, or dealings with any third party.

13. Compliance with Laws

• You must comply with all Applicable Law in connection with your registration, payments, use of the Platform, participation in Events, communications, content sharing, and dealings with other members.
• Without limitation, this includes laws relating to anti-bribery, anti-money laundering, sanctions, consumer protection, data protection, intellectual property, tax, advertising, and regulated professional activities.

14. Taxes

• You are responsible for taxes, duties, levies, withholding obligations, currency charges, banking charges, or similar amounts that apply to you in connection with your Membership, except for taxes imposed on YBF’s income.
• YBF may collect and remit GST or other applicable indirect taxes where required by law.

15. Force Majeure

• YBF is not liable for delay, disruption, or failure in performance caused by circumstances beyond its reasonable control.
• These circumstances may include natural disasters, epidemics, pandemics, war, civil unrest, government action, sanctions, labour disputes, internet or telecommunications failure, cyber incidents, venue unavailability, or failure of third-party systems or utilities.

16. Governing Law and Disputes

• These Terms and any dispute arising out of or relating to them, the Platform, or the Services shall be governed by the laws of India.
• Before any formal proceeding, you shall notify YBF in writing and the parties shall attempt to resolve the dispute amicably for 30 days.
• If unresolved, the dispute shall be finally resolved by confidential arbitration under the Arbitration and Conciliation Act, 1996. Arbitration shall be the mandatory first forum for all arbitrable disputes.
• The arbitration shall be conducted by a sole arbitrator appointed by YBF. The seat and venue shall be Mumbai, Maharashtra, and the language shall be English.
• YBF may seek interim, injunctive, or protective relief from the courts at Mumbai, Maharashtra, before, during, or after arbitration.
• The arbitration, all materials disclosed in it, and the award shall remain confidential to the extent permitted by law.
• The award shall be final and binding, and the courts at Mumbai, Maharashtra shall have exclusive jurisdiction for interim relief, enforcement, and non-arbitrable matters.

17. Updates and Miscellaneous

• YBF may amend these Terms from time to time.
• Unless Applicable Law requires otherwise, updated Terms take effect when published or on a later stated date.
• Continued use of the Platform or Services after that date means you accept the updated Terms.
• These Terms, together with the Privacy Policy and any policies or guidelines expressly incorporated by reference, form the entire agreement between you and YBF regarding the Platform and Services.
• If any provision is held invalid or unenforceable, the rest will remain in effect.
• No failure or delay by YBF in exercising a right or remedy will operate as a waiver.
• You may not assign your rights or obligations without YBF’s prior written consent.
• YBF may assign its rights and obligations as part of a restructuring, merger, acquisition, or business transfer, subject to Applicable Law.
• Nothing in these Terms creates a partnership, agency, employment, fiduciary, or franchise relationship between you and YBF.
• Electronic records, digital acceptance mechanisms, and electronic communications may be used for the formation, evidence, delivery, and administration of these Terms.
• Headings are for convenience only and do not affect interpretation.
